Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the StudiesHQ website, mobile application, and related services (collectively, the “Site” or “Platform”) operated by StudiesHQ (backed by Agile Labs) with a principal business location at 450 Century Pkwy, Ste 250, Allen, Texas 75013, USA (“StudiesHQ,” “we,” “us,” or “our”). “You” or “user” means any visitor, account holder, Client, or Freelancer using the Site. 

By accessing or using the Site, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms, the Payment Terms (incorporated by reference), our Community Standards, any in-product notices, and our Privacy Policy. If you do not agree, do not use the Site.

  1. Eligibility; Representations & Warranties
  • You must be 18+ to use the Site. Users 13–17 may use the Site only through an account owned by a parent or legal guardian with appropriate permission. Users under 13 are not permitted. 
  • You may not use the Site if you are subject to sanctions, export controls, or trade restrictions administered by the U.S., EU, or other applicable jurisdictions. 
  • By using the Site, you represent and warrant that you meet these requirements and that any information you provide is accurate and kept current. 
  1. Key Terms
  • Client / Buyer: A user who purchases or intends to purchase services on the Platform. 
  • Freelancer / Seller: A user who offers and provides services on the Platform. 
  • Gig / Service: A service offering published by a Freelancer, including Custom Offers. 
  • Order / Project: A binding agreement between a Client and Freelancer for Services (including fixed price, milestone, subscription, or hourly). 
  • Order Page: The workspace where the parties communicate, exchange files, track milestones/hours, and manage delivery. 
  • Custom Offer: A tailored proposal sent by a Freelancer to a Client via the Platform. 
  • Milestone: A defined phase of work within a Project with a specific deliverable and payment. 
  • Hourly Contract: A Project billed by hourly rate with weekly reporting. 
  • StudiesHQ Go / AI Tools: Optional AI features including intelligent search/matching and content assists that may generate drafts, suggestions, or previews. 
  1. Account Registration & Security
  • Only registered users may buy or sell on StudiesHQ. You must provide accurate, complete, and updated information and maintain the confidentiality of your credentials. 
  • You are solely responsible for all activity under your account. Notify us immediately of any unauthorized use. 
  • Accounts created for fraudulent or misleading purposes, or to impersonate others, are prohibited. 
  1. Marketplace Overview (In Short)
  • Freelancers control pricing, delivery timelines, and scope, subject to these Terms. 
  • Clients pay StudiesHQ in advance for fixed/milestone Orders and weekly for hourly Orders, per the Payment Terms. 
  • Fees: Platform fees and payment processing fees apply (see Payment Terms). StudiesHQ’s standard platform fee for Freelancers is currently 10% of amounts earned (subject to change via Payment Terms). 
  • No off-platform payments. Users may not solicit or accept payments outside StudiesHQ. 
  • Ownership: Unless stated otherwise on the Service page or agreed in writing, and subject to full payment, Clients receive rights in the delivered work (see Section 11). 
  • Independent contractors: Freelancers act as independent contractors; Clients do not supervise or control the manner or means of performance. 
  1. Freelancers

5.1 Basics 

  • You may publish Services, send Custom Offers, and (if enabled) use AI tools and subscriptions. 
  • Maintain professional quality and deliver within agreed timelines. Repeated late delivery, cancellations without cause, or low quality may lead to account actions. 
  • Maintain any licenses/insurance required by law or your profession. 
  • Business Sellers may be asked to verify identity, trade registration, tax information, or other documents; failure to comply can result in restrictions. 

5.2 Services & Content 

  • Services must be original, lawful, and compliant with third-party terms. 
  • Listings must include accurate descriptions, timelines, and pricing. 
  • Images, videos, and portfolios must reflect the quality actually delivered. 

5.3 Extras, Packages, Subscriptions 

  • You may offer add-ons, tiers, and subscriptions if the category supports them. All must be relevant to the core Service. 

5.4 Levels & Badges 

  • StudiesHQ may offer recognition tiers or badges based on quality and reliability. Criteria and benefits may change. 
  1. Clients

6.1 Purchasing & Payments 

  • Create Orders via the Service page or Custom Offers. For hourly projects, billing occurs weekly against reported and approved hours. 
  • Do not request or make off-platform payments. Report any solicitation to Support. 

6.2 Responsibilities 

  • Provide clear, lawful instructions and necessary materials. 
  • Review deliveries promptly and request reasonable revisions if the work does not match the agreed scope. 
  1. Orders & Delivery

7.1 Creation & Completion 

  • An Order is created after payment authorization/confirmation (or, for hourly, upon Order initiation). 
  • For fixed/milestone Orders: once a delivery is marked Delivered, the Client must Accept or request revisions within the stated review window (default 3 days, extendable up to 5 days via the Order Page). If no action is taken, the Order may auto-complete. 
  • For hourly Orders: weekly reports may auto-complete if not disputed within 72 hours after charge. 

7.2 Revisions & Communication 

  • Use the Order Page for all communications and file exchanges. 
  • Revisions are for alignment with the agreed scope, not new work. 
  • Abusing the Deliver button or the revision process may lead to cancellation and account actions. 

7.3 Milestones & Subscriptions 

  • Projects over certain thresholds may include milestones (minimums may apply). Each milestone is delivered and accepted separately. If the next milestone is not funded within 10 days of accepting the previous, the project may pause. 
  • Subscription Orders renew as agreed; you authorize recurring charges from your saved method unless cancelled prior to the next cycle. Cancellation does not retroactively refund paid cycles. 
  1. Hourly Contracts
  • Hourly rate, estimated weekly hours, and any Weekly Hourly Limit must be defined in the Custom Offer. 
  • Either party may terminate or pause with 24 hours’ notice via the Order Page. 
  • Freelancers must promptly log accurate hours and descriptions; hours exceeding the agreed limit or reported after the weekly cutoff may be excluded from payment. 
  • Additional rules may appear in the Payment Terms or category guidelines. 
  1. Shipping Physical Deliverables (If Applicable)
  • If a Service includes physical delivery, the Freelancer is responsible for shipping after the Client provides a shipping address. StudiesHQ does not handle or guarantee shipping, tracking, or condition. A tracking number is strongly recommended. 
  1. AI Features & Generated Content
  • Inputs & Training: Freelancers must own or hold rights to any materials used in training or outputs they provide through AI tools on StudiesHQ. 
  • Previews & Drafts: AI-assisted previews may be watermarked or limited. 
  • Non-exclusivity: AI outputs can be similar for different users due to model behavior; uniqueness is not guaranteed. 
  • Accuracy Limits: AI may generate inaccurate, biased, or incomplete results. Users must evaluate suitability and accuracy for their use case. 
  • Ownership: See Section 11 for deliverables; AI limitations do not override third-party IP rights or applicable law. 
  1. Ownership, Licenses, and Stock Media

11.1 Default Rule (Custom Work) 

Unless the Service page or Custom Offer clearly states otherwise, and subject to full payment, the Client receives all intellectual property rights in the final delivered work (excluding Freelancer’s pre-existing materials, tools, know-how, and third-party components). To the extent allowed by law, the Freelancer waives moral rights in the deliverables or agrees not to assert them against the Client. 

11.2 Pre-Existing Materials & Tools 

Freelancers retain ownership of pre-existing materials, frameworks, and tools. They grant the Client a perpetual, worldwide, non-exclusive, royalty-free license to use such elements solely as integrated into the deliverable. 

11.3 Commercial Use 

If the listing specifies separate Commercial Use Licenses (e.g., for voice, media, templates), the Client must purchase the applicable license for commercial use. See the Service page and Payment Terms. 

11.4 Stock Media & Third-Party Licenses 

If Stock Media or third-party assets are used, they remain subject to their own license terms. Clients receive only the rights allowed under those licenses (often non-exclusive, limited, non-transferable). Resale or standalone use is typically prohibited. If an Order is canceled, related Stock Media licenses may terminate. 

  1. User Conduct & Community Standards
  • Keep interactions professional. No harassment, hate speech, threats, or abusive language. 
  • No unlawful services, academic cheating, or IP infringement. 
  • No attempts to move a StudiesHQ relationship off-platform for payment. 
  • Exchange personal data only as needed for the Order and within the Order Page. 
  • Do not spam users or manipulate ratings/reviews. 
  • Maintain an authentic profile; identity verification may be required. 

Violations may result in warnings, demotion, listing removal, suspension, or permanent disablement. 

  1. Reviews
  • Reviews must reflect genuine project experiences. 
  • StudiesHQ may remove reviews that violate these Terms (e.g., off-platform payment pressure, extortion, hate speech, fabricated Orders). 
  1. Content Moderation; Reports; Appeals
  • We may (but are not obligated to) review, remove, or restrict content or accounts that violate these Terms or law. 
  • You may report violations to Support. To protect privacy, outcomes may not be shared. 
  • If action is taken against your account/content, you will receive notice and may appeal within 6 months of notification. 
  1. Payment Terms; Fees; Taxes
  • See Payment Terms for details on billing, fees, refunds, disputes, chargebacks, taxes, currency conversion, and withdrawal options. 
  • Users are responsible for applicable taxes (e.g., VAT/GST/withholding) unless StudiesHQ is required to collect. 
  1. Privacy
  • We care about your privacy. See our Privacy Policy for how we collect, use, and protect personal data. 
  1. Security
  • Enable available account security features. We may require proof of ownership to assist with recovery. 
  • Do not upload malware, attempt to bypass security, or overload the Site. 
  1. Intellectual Property; Feedback
  • The Site, its look and feel, features, and content (excluding UGC) are owned by StudiesHQ or its licensors and protected by IP laws. You may not copy, reverse engineer, scrape, or create derivative works except as permitted by law or these Terms. 
  • If you provide suggestions or feedback, you grant StudiesHQ a perpetual, worldwide, royalty-free license to use them without restriction. 
  1. Disputes Between Users; Cancellations
  • We encourage Clients and Freelancers to resolve issues via the Resolution Center on the Order Page. If unsuccessful, contact Support per the Payment Terms (which describe refunds, credits, and cancellation scenarios). 
  1. Disclaimer of Warranties

YOUR USE OF THE SITE AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR SOLE RISK. EXCEPT AS REQUIRED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED), INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND SUBJECT TO THE LIMITS OF APPLICABLE LAW FOR CONSUMERS. 

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDIESHQ, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF FORESEEABLE. SOME JURISDICTIONS DO NOT ALLOW SUCH LIMITS; IN THOSE CASES, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. 

  1. Suspension; Deactivation; Termination
  • We may place accounts on hold or permanently disable them for violations, fraud, unlawful use, or quality issues. 
  • You may deactivate your account in settings. Outstanding obligations survive deactivation. 
  • Certain provisions survive termination (e.g., ownership, licenses, payments, arbitration, limitations). 
  1. U.S. Arbitration; Class Action Waiver (for U.S. Users)

PLEASE READ—THIS AFFECTS YOUR RIGHTS. 
Except where prohibited by law, you and StudiesHQ agree to arbitrate any dispute, claim, or controversy arising out of or relating to the Site or these Terms, on an individual basis, administered by the American Arbitration Association (AAA) under its applicable rules. The seat and venue shall be Dallas County, Texas, unless the AAA Consumer Rules require proceedings near your residence; hearings may be virtual if allowed. Class, representative, and consolidated actions are not permitted. Judgment on an award may be entered in any court of competent jurisdiction. 

Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing network@agilelabs.ai with subject “Arbitration Opt-Out” and your account email and full name. Opting out does not affect prior agreements. 

If mass/arising coordinated claims occur, AAA supplementary rules for mass filings may apply, including staged proceedings and mediation. 

For disputes not subject to arbitration, the exclusive venue is the state or federal courts in Dallas County, Texas, and you consent to personal jurisdiction there. 

  1. Governing Law

For U.S. users, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. For users outside the U.S., mandatory local consumer laws may also apply. 

  1. Changes to These Terms

We may update these Terms from time to time. If you continue using the Site after changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Site and may deactivate your account. 

  1. Assignment; Severability; Entire Agreement
  • You may not assign these Terms without our prior written consent. We may assign without restriction. 
  • If any provision is found unenforceable, it will be limited to the minimum extent necessary; the remainder remains in effect. 
  • These Terms, the Payment Terms, Community Standards, and Privacy Policy constitute the entire agreement between you and StudiesHQ regarding the Site. 
  1. Interpretation; Language

Headings are for convenience only. The original language of these Terms is English; translations are provided for convenience and the English version controls in case of conflict (subject to consumer-protective law where applicable).
